Terms and Conditions - Guardians of the Genome Drawing Competition
I. GENERAL
1.1 Your participation in the GENEWIZ Guardians of the Genome trading card Drawing Competition (“Competition”) shall be deemed to be your complete acceptance of these Terms and Conditions herein which are final and binding on all matters relating to the Competition. The following are the Terms and Conditions of the Competition, which is sponsored by Azenta US, Inc., a Delaware corporation with its principal place of business at 2910 Fortune Circle West, Suite E, Indianapolis, IN 46241 (doing business as “GENEWIZ”).
1.1 Your participation in the GENEWIZ Guardians of the Genome trading card Drawing Competition (“Competition”) shall be deemed to be your complete acceptance of these Terms and Conditions herein which are final and binding on all matters relating to the Competition. The following are the Terms and Conditions of the Competition, which is sponsored by Azenta US, Inc., a Delaware corporation with its principal place of business at 2910 Fortune Circle West, Suite E, Indianapolis, IN 46241 (doing business as “GENEWIZ”).
II. ELIGIBILITY
2.1 Employees, officers, directors, agents, representatives and independent contractors of the Sponsors, its subsidiaries or affiliated companies, together with their immediate family members and members of the same households (whether related or not) are not eligible to participate. Also ineligible are (1) residents of Cuba, Iran, North Korea, Syria, the Crimea region of Ukraine, Russia, or any country subject to U.S. embargo; (2) any persons (including businesses, research institutions, government and private organizations, individuals, and other types of legal persons) on the U.S. government’s Denied Persons List, Specially Designated Nationals List, Entity List, Unverified List or any other similar list maintained by the U.S. government or any other government to whose laws the Sponsors, its subsidiaries or affiliated companies, the Awards Program or such person is subject, and all individuals employed thereby or otherwise associated therewith; and (3) any persons for whom it would be illegal to participate in or win the Awards Program, or with or to whom it would be illegal for the Sponsors to interact or grant the award as contemplated herein. The Competition is subject to all applicable laws and regulations, and is void where prohibited or where registration, bonding or language translation is required. Each Contestant may only submit one drawing.
III. ENTRY
3.1 Each drawing must be original. The art must be your own original concept and not a copy of anyone’s copyrighted material. If there is any question about authenticity, GENEWIZ reserves the right to demand proof of authorship and, if it determines that you are not the author, to disqualify the entry. No AI generated imagery will be allowed. Contestant understands and agrees that GENEWIZ may need to alter the image prior to publication.
IV. DURATION
4.1 The Competition shall begin on October 15th, 2025 and shall end on December 5th, 2025 or a later date determined by GENEWIZ in its sole discretion (the “Promotion Period”). The winning drawing (“Winner”) will be announced on or near December 15th, 2025.
V. STATEMENT OF ODDS
5.1 GENEWIZ shall select one (1) Grand Prize winner on December 15, 2025. Odds of winning will depend on the number of eligible entrants.
VI. PRIZE INFORMATION
6.1 Promotional prizes (“Prizes”) will be issued in the following manner. The Winner’s Guardian of the Genome drawn image will be used on the front of a Guardian of the Galaxy trading card and their personal relevant details will be added to the back. A prize bag worth <$100.00 US will also be given. All other drawings may be used for the second series of cards, with credit given to the submitter on the back of the card.
VII. PARTICIPATION
7.1 By participating in the Competition, you hereby agree to GENEWIZ’S collection and usage of your personal information to contact you by E-mail or regular mail for the administration of the Competition. You acknowledge that you have read and accepted GENEWIZ’S privacy statement which is available at https://www.genewiz.com/en/Public/Company/Policies/Privacy-Policy. If during the registration or entry process of this Competition, you have elected to receive (opt-in) communications from GENEWIZ, you may choose to opt-out of such communications at any time upon notice to GENEWIZ.
7.2 The Winner agrees to be highlighted in GENEWIZ social media including but not limited to LinkedIn, X and Blue Sky, and on the GENEWIZ internet.
7.3 Use of any automated system, including AI, to participate is prohibited and will result in disqualification at GENEWIZ’S sole discretion. Any attempt by any entrant to circumvent these Terms and Conditions by using multiple / different email addresses, identities, registrations and logins, or any other methods will void that entrant’s entries and that entrant may be disqualified in GENEWIZ’S sole discretion.
7.4 The Promotion and Prize are void where legally prohibited. Other restrictions may apply.
VIII. LICENSE; RELEASE; INDEMNIFICATION
8.1 By entering this Competition, you hereby grant to GENEWIZ and its respective affiliates (i) non-exclusive, worldwide, irrevocable publication rights for your submission, and any in all GENEWIZ publicity materials, print or electronic, including the right to alter such submission for use in such publicity materials, and (ii) the right to use your name, likeliness, institution or employer, city, state, and country in such publications, including in print and electronic advertisements and promotions. All photos and drawings will be credited with the caption “© Your Name”.
8.2 By participating in the Competition, you agree to indemnify GENEWIZ and its’ respective subsidiaries, and other affiliated companies, and the directors, shareholders, officers, employees, or agencies (“Released Parties”) of any of the above organizations, for any and all third party liability for any injury, claims, loss, tax liability, actions, demands or damage of any kind arising from or in connection with your participation in the Competition, including, but not limited to, any third party claim for infringement of intellectual property or violation of an individual’s right to privacy or publicity right.
8.3 Failure to comply with these Terms and Conditions may result in disqualification from the Competition. GENEWIZ reserves the right, in its’ sole discretion, to (i) disqualify from this or any Competition it sponsors now, or in the future, any person it finds, in its’ sole discretion, has intentionally violated these Terms and Conditions, tampered with the eligibility process, or any other aspect of the Competition; and (ii) cancel or suspend part or all of this Competition in the event that tampering, fraud, unauthorized intervention or other causes beyond GENEWIZ’S control, corrupt or impair the administration, security or fairness of the Competition. Any attempt by you or any other person to deliberately undermine the legitimate operation of the promotion may be in violation of criminal and civil laws; and should such an attempt be made, GENEWIZ reserves the right to seek remedies and damages (including attorneys’ fees) from you or any other person to the fullest extent permitted by law, including seeking criminal prosecution. Released Parties are not responsible for incomplete, misdirected, delayed, undelivered, inaccurate, lost, late, garbled, mutilated or illegible entries or postage-due mail, or for incorrect or inaccurate transcription of entry information, electronic transmission errors resulting in omission, interruption, deletion, defect, delay in operations or transmission, theft, destruction or unauthorized access to or alterations of entry materials, technical, network, telephone equipment, electronic, computer hardware or software, or limitations of any kind or for entries that for any reason are not properly received by GENEWIZ. Released Parties are not responsible for any error or malfunction that occurs when processing entries, the announcement of the Prize, any Promotion-related materials, or distribution of the Prize.
IX. DISCLAIMER OF WARRANTIES
9.1 THE PROMOTION, THE PRIZE AND ANY PRODUCTS AND/OR SERVICES THAT YOU MAY RECEIVE FROM GENEWIZ ARE PROVIDED TO YOU ON AN “AS IS” AND “AS AVAILABLE” BASIS AND ALL WARRANTIES, EXPRESS AND IMPLIED, ARE DISCLAIMED TO THE FULLEST EXTENT PERMISSABLE PURSUANT TO APPLICABLE LAW (INCLUDING, BUT NOT LIMITED TO, THE DISCLAIMER OF ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT OF INTELLECTUAL PROPERTY AND/OR FITNESS FOR A PARTICULAR PURPOSE). IN PARTICULAR, BUT NOT AS A LIMITATION THEREOF, GENEWIZ MAKES NO WARRANTY THAT: (A) THE GENEWIZ WEBSITE, THE PROMOTION, THE PRIZE AND ANY PRODUCTS AND/OR SERVICES THAT YOU MAY RECEIVE FROM GENEWIZ OR ONE OF OUR THIRD PARTY PARTNERS WILL MEET YOUR REQUIREMENTS; (B) THE GENEWIZ WEBSITE, THE PROMOTION, THE PRIZE AND ANY PRODUCTS AND/OR SERVICES THAT YOU MAY RECEIVE FROM GENEWIZ OR ONE OF OUR THIRD PARTY PARTNERS WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE; (C) THE APPLICABLE PRIZE WILL MEET WITH YOUR REQUIREMENTS AND/OR THAT ANY THIRD PARTY PARTNER WILL PERFORM ITS ASSOCIATED OBLIGATIONS IN A TIMELY OR SATISFACTORY MANNER; OR (D) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE PROMOTION, THE PRIZE, AND ANY PRODUCTS AND/OR SERVICES THAT YOU MAY RECEIVE FROM GENEWIZ WILL BE ACCURATE OR RELIABLE. THE GENEWIZ WEBSITE, THE PROMOTION, THE PRIZE, AND ANY PRODUCTS AND/OR SERVICES THAT YOU MAY RECEIVE FROM GENEWIZ MAY CONTAIN BUGS, ERRORS, PROBLEMS OR OTHER LIMITATIONS. GENEWIZ WILL NOT BE LIABLE FOR THE AVAILABILITY OF THE UNDERLYING INTERNET CONNECTION ASSOCIATED WITH ITS WEBSITE. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM GENEWIZ, ANY OF ITS THIRD-PARTY PARTNERS OR OTHERWISE THROUGH OR FROM THE GENEWIZ WEBSITE, SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS AND CONDITIONS.
X. LIMITATION OF LIABILITY
10.1 TO THE EXTENT PERMITTED UNDER APPLICABLE LAW, UNDER NO CIRCUMSTANCES WILL YOU BE PERMITTED TO OBTAIN AWARDS FOR, AND YOU HEREBY WAIVE ALL RIGHTS TO CLAIM, INDIRECT, PUNITIVE, INCIDENTAL AND CONSEQUENTIAL DAMAGES AND ANY OTHER DAMAGES, OTHER THAN FOR ACTUAL OUT-OF-POCKET EXPENSES IN CONNECTION WITH THE PROMOTION OR THE PRIZE AND IN NO EVENT WILL ATTORNEYS’ FEES BE AWARDED OR RECOVERABLE. BY ENTERING THE PROMOTION, ENTRANT AGREES THAT TO THE EXTENT PERMITTED BY APPLICABLE LAW, ANY AND ALL DISPUTES, CLAIMS AND CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THE PROMOTION OR PRIZE, OR WILL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION.
XI. MISCELLANEOUS
11.1 Non-Waiver. The failure of either party in any one or more instances to insist upon strict performance of any of the terms and conditions of these Terms and Conditions shall not be construed as a waiver or relinquishment, to any extent, of the right to assert or rely upon any such terms or conditions on any future occasion.
11.2 Severability. In the event any term of these Terms and Conditions is or becomes or is declared to be invalid or void by any court of competent jurisdiction, such term or terms shall be null and void and shall be deemed deleted from these Terms and Conditions and all the remaining terms shall remain in full force and effect.
11.3 Governing Law and Venue. These Terms and Conditions and the rights of the parties hereunder shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts including all matters of construction, validity, performance, and enforcement and without giving effect to the principles of conflict of laws. Any action brought by any party hereto shall be brought within the Commonwealth of Massachusetts, Suffolk County.
11.4 Entire Agreement. These Terms and Conditions represent the entire understanding between the parties with respect to the subject matter hereof and thereof.
11.5 Amendments. No amendment of any provision of these Terms and Conditions or any other writing executed in connection herewith shall be valid unless the same shall be in writing and signed by the parties hereto.
11.6 Headings. The section headings or other captions contained in these Terms and Conditions are inserted for convenience of reference only and shall not affect in any way the meaning or interpretation of the provisions of these Terms and Conditions.
11.7 Survival. Each Section that, by its terms, contemplates performance or obligations following the termination of the Promotion shall so survive.
